Terms of Service

These Terms of Service (“Terms”) govern your use of the BusinessFlow platform operated by Advanced Digital Online (Pty) Ltd (“we”, “us”, “our”). By using BusinessFlow, you agree to these Terms.

1. Platform Overview

BusinessFlow is a multi-tenant customer relationship management (CRM) platform designed for South African service-based businesses. The platform includes features for contact management, insurance policy tracking, lead management, email integration, and WhatsApp Business messaging.

BusinessFlow is a software platform only. It does not provide tax, legal, accounting, or financial advice, and it does not replace your professional judgement or your regulatory obligations (including any SARS, CIPC, and FAIS requirements). You remain responsible for the accuracy and timeliness of your own filings, records, and client communications.

2. Contract Documents and Authority

If you or your organisation have entered into an order form, master services agreement, data processing agreement, or other written agreement with us, that agreement governs the services covered by it and prevails over these Terms to the extent of any conflict.

If you use BusinessFlow on behalf of an organisation, you confirm that you have authority to accept these Terms for that organisation. In these Terms, “you” includes that organisation and its authorised users, as applicable.

3. Account Registration

To use BusinessFlow, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.

4. Acceptable Use

You agree to use BusinessFlow only for lawful purposes and in accordance with these Terms. You must not:

  • Use the platform to send unsolicited or spam messages
  • Violate any applicable laws or regulations, including POPIA and the WhatsApp Business Policy
  • Attempt to gain unauthorised access to other users' data or accounts
  • Use the platform to store or transmit malicious content
  • Reverse engineer, decompile, or disassemble any part of the platform

5. WhatsApp Business Integration

5.1 Platform Dependency

WhatsApp messaging functionality is provided through the Meta WhatsApp Business Platform (Cloud API). BusinessFlow provides software that can connect your WhatsApp Business Account to our CRM platform. This integration is subject to Meta's terms and policies, including the WhatsApp Business Policy, in addition to these Terms.

5.2 Your Responsibilities

When using the WhatsApp integration, you are responsible for:

  • Opt-in: Before you send a business-initiated WhatsApp message, you must obtain and retain evidence of the recipient's valid opt-in for the intended communication, in accordance with the WhatsApp Business Policy, POPIA, and other applicable law. An inbound message or a successful send does not by itself establish consent for future business-initiated messages.
  • Opt-outs: You must promptly honour every opt-out or objection you receive, including one received outside BusinessFlow. BusinessFlow may provide tools to record supported opt-out requests, but those tools do not replace your own compliance obligations or prevent you from contacting an opted-out person through another channel.
  • 24-hour window and templates: Outside Meta's 24-hour customer-service window, you may send only a Meta-approved message template. You must not use free-form messages outside that window unless Meta's policies expressly allow it.
  • Message content: You are solely responsible for message content, recipients, and the purpose of each communication. Messages must be accurate, non-misleading, lawful, and compliant with Meta's policies.
  • Template compliance: Message templates submitted for Meta approval must be accurate, non-misleading, and comply with Meta's template guidelines. You must not use a template that Meta has rejected, paused, or disabled.

5.3 Platform Availability

BusinessFlow is not responsible for the availability or performance of the Meta WhatsApp Business Platform. Service disruptions on Meta's infrastructure may affect your ability to send or receive WhatsApp messages through BusinessFlow. We do not guarantee uninterrupted WhatsApp messaging service.

5.4 Token Security

When you connect your WhatsApp Business Account via Embedded Signup, BusinessFlow stores your business access token in encrypted form. You must not share your BusinessFlow account credentials with unauthorised parties, as this could compromise your WhatsApp Business Account access.

5.5 Suspension of WhatsApp Functionality

We may restrict or suspend WhatsApp functionality where reasonably necessary to protect the platform, comply with Meta's requirements, investigate suspected misuse, or prevent unlawful messaging. Where practicable, we will give you notice and an opportunity to address the issue.

6. Customer Data and Privacy

You retain ownership of the data you upload or create within BusinessFlow, including client records, communication history, and documents (“Customer Data”). For Customer Data containing personal information, you are ordinarily the responsible party and BusinessFlow is your operator under POPIA. You are responsible for ensuring that you have a lawful basis to collect, use, and provide Customer Data to us, and for giving data subjects any notices required by law.

We process Customer Data only to provide, secure, support, and improve the platform in accordance with your documented instructions, these Terms, and any applicable written agreement with you. Our processing of BusinessFlow account, billing, security, and website data is described in our Privacy Policy.

7. Subscription and Payment

7.1 Subscription Plans

BusinessFlow is offered on a subscription basis. Plan details, features, and pricing are available on our website or upon request. We reserve the right to modify pricing with 30 days' advance notice.

7.2 Payment

Subscription fees are billed monthly or annually as agreed. All amounts are in South African Rand (ZAR) and are exclusive of VAT unless otherwise stated.

7.3 Cancellation

You may cancel your subscription at any time. Upon cancellation, your access continues until the end of the current billing period. After cancellation, your data is retained for 90 days before permanent deletion, during which time you may request a data export.

8. Service Availability

We strive to maintain high availability of the BusinessFlow platform but do not guarantee 100% uptime. Scheduled maintenance windows will be communicated in advance where possible.

9. Limitation of Liability

To the maximum extent permitted by South African law, Advanced Digital Online (Pty) Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the platform.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under South African law, including under the Consumer Protection Act where it applies to you.

10. Intellectual Property

The BusinessFlow platform, including its design, code, and documentation, is the intellectual property of Advanced Digital Online (Pty) Ltd. Your subscription grants you a non-exclusive, non-transferable licence to use the platform for the duration of your subscription.

11. Termination

We reserve the right to suspend or terminate your account if you violate these Terms, including misuse of the WhatsApp integration, non-payment, or illegal activity. In such cases, we will provide reasonable notice where practicable.

12. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the jurisdiction of the South African courts.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to registered users via email at least 14 days before they take effect. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
